This Mutual Non-Disclosure Agreement ("Agreement") is entered into between Bodill Ventures Pty Ltd ("Disclosing Party") and the Receiving Party (as registered below) effective upon submission of this form. The Agreement remains in force for a period of five (5) years from the date of disclosure.
Confidential Information means all non-public information disclosed by Aquanaut, including but not limited to:
(a) Product design, prototype specifications, and intellectual property
(b) Financial statements, projections, forecasts, and capital structure
(c) Business strategy, go-to-market plans, distribution agreements, and supplier relationships
(d) The Investment Memorandum, financial model, and all supporting documents.
Obligations. The Receiving Party agrees to: (i) hold all Confidential Information in strict confidence; (ii) use it solely to evaluate a potential investment; (iii) not disclose it to any third party without prior written consent; and (iv) protect it with the same standard of care it applies to its own confidential information, and no less than reasonable care.
Exclusions. Confidential Information does not include information that is publicly known through no breach of this Agreement, was rightfully known prior to disclosure, or was independently developed.
This Agreement does not create any obligation for the Disclosing Party to disclose Confidential Information, nor does it grant any license or rights to the Receiving Party except as expressly stated herein. Governed by the laws of New South Wales, Australia.
